This module explains, in plain language, when an everyday business agreement becomes a legally binding contract. Using the “Riverside Offices” construction project as a running case study, it shows how tenders, letters of intent, emails and handshake deals can all create enforceable obligations if the legal elements of contract formation are present.

Case Study - Riverside Offices Project

Throughout the course, learners follow a construction project between BuildRight Construction Ltd and Riverside Properties plc:

  • Tender and negotiation stage: which communications are mere discussions and which amount to offers or counter-offers.
  • Letter of intent: what it usually does and does not commit the parties to do.
  • Pre-contract work on site: when acting “as if” there is a contract can create one in law.
  • Signing the formal design and build contract: what changes, and what may already have been binding beforehand.

The case study is used to test whether the essential elements of a contract are present at each stage, highlighting points where non-lawyers often misjudge whether the business is already committed.
